End User License Agreement (EULA) 

This End User License Agreement (“Agreement”) is a legally binding agreement between Cognos Partners, an Ontario, Canada entity with its principal place of business in Mississauga, Ontario (“Licensor,” “we,” “us,” or “our”), and the individual or legal entity accepting this Agreement (“Licensee,” “you,” or “your”). 

By accessing, installing, or using the Cognos Assistant AI agent (the “Software”), you agree to be bound by the terms and conditions of this Agreement. If you do not agree, do not access or use the Software. 

1. Definitions 

  • “Cognos Assistant” means the AI-powered agent developed by Cognos Partners and made available through IBM watsonx Orchestrate.
  • “IBM Platforms” means IBM Cognos Analytics, IBM watsonx, and IBM watsonx Orchestrate.
  • “Marketplace” means the platform through which the Software is distributed and licensed.   

2. License Grant 

Subject to the terms of this Agreement and payment of applicable subscription fees, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Software solely for your internal business purposes. 

This Agreement does not constitute a sale and does not convey any ownership rights in the Software. 

3. Eligibility and Access Requirements 

3.1 The Software is intended for external enterprise customers who already have valid access rights to IBM watsonx Orchestrate and related IBM Platforms. 

3.2 You are responsible for maintaining all required licenses, permissions, and access rights to IBM Platforms. Licensor does not provide or manage such access. 

4. Scope of Use 

4.1 The Software is designed to provide support and assistance to IBM Cognos users, including but not limited to guidance, analysis, troubleshooting, and best-practice recommendations. 

4.2 Use of the Software is governed by your existing access rights within IBM Platforms. The Software does not override, elevate, or modify such rights. 

4.3 You agree not to use the Software for any unlawful purpose or in violation of applicable laws or regulations. 

5. Restrictions 

You shall not, and shall not permit any third party to: 

  • Reverse engineer, decompile, or disassemble the Software; 
  • Use the Software to develop, train, or improve competing products, services, or AI models; 
  • Copy, modify, or create derivative works of the Software; 
  • Remove or obscure any proprietary notices; 
  • Use the Software in a manner that interferes with or disrupts IBM Platforms or Licensor systems. 

6. Intellectual Property Rights 

6.1 The Software, including all underlying algorithms, workflows, prompts, logic, and documentation, is and shall remain the exclusive property of Cognos Partners

6.2 All rights not expressly granted to you are reserved by Licensor. 

6.3 Outputs generated by the Software based on your inputs are owned by you. Licensor retains no ownership interest in such outputs. 

7. Data, Privacy, and Security 

7.1 The Software does not store, retain, or log user data or outputs

7.2 Licensor does not process or store personal data through the Software. 

7.3 You acknowledge that the Software may interact with data residing in IBM Platforms, which is governed by IBM’s terms and your agreements with IBM. 

7.4 You are solely responsible for the accuracy, legality, and compliance of any data you provide or access through the Software. 

8. Third-Party Services 

8.1 The Software depends on IBM Cognos Analytics and IBM watsonx Orchestrate. 

8.2 Your use of such third-party services is subject to their respective terms and conditions. 

8.3 Licensor disclaims all liability arising from third-party service outages, errors, changes, or discontinuation. 

9. Disclaimer of Warranties 

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. 

LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT. 

THE SOFTWARE DOES NOT PROVIDE LEGAL, FINANCIAL, COMPLIANCE, OR BUSINESS DECISION ADVICE. 

10. Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION. 

LICENSOR SHALL HAVE NO MONETARY LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY. 

11. Indemnification 

You agree to indemnify and hold harmless Licensor from any claims, damages, liabilities, and expenses arising from your use of the Software or violation of this Agreement. 

12. Term and Termination 

12.1 This Agreement remains in effect for the duration of your subscription unless terminated earlier. 

12.2 Licensor may terminate this Agreement for material breach with one (1) month written notice, unless the breach is cured within such period. 

12.3 Upon termination, your right to use the Software shall immediately cease. 

12.4 As Licensor does not store user data, no data deletion obligations apply upon termination. 

13. Governing Law and Dispute Resolution 

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. 

Any disputes shall be resolved exclusively in the courts located in Ontario, Canada. 

14. Trademarks 

“Cognos Assistant” is a trademark of Cognos Partners. 

IBM, Cognos, watsonx, and watsonx Orchestrate are trademarks or registered trademarks of International Business Machines Corporation. Licensor is not affiliated with, endorsed by, or sponsored by IBM. 

15. Acceptance 

This Agreement is accepted electronically through click-through acceptance in the Marketplace. Such acceptance constitutes a legally binding agreement.
