Oil & Gas Data Analyst
This End User License Agreement (“Agreement”) is a legally binding agreement between Cognos Partners, an Ontario, Canada entity with its principal place of business in Mississauga, Ontario (“Licensor,” “we,” “us,” or “our”), and the individual or legal entity accepting this Agreement (“Licensee,” “you,” or “your”).
By accessing, installing, or using the Oil & Gas Data Analyst assistant (the “Software”), you agree to be bound by the terms and conditions of this Agreement. If you do not agree, do not access or use the Software.
1. Definitions
For the purposes of this Agreement, the following terms shall have the meanings set out below:

| “Agent” | The Alberta Oil & Gas Intelligence Agent, an artificial intelligence-powered conversational tool that provides analytical responses based on petroleum data. |
| “Service” | The Agent and all associated data pipelines, retrieval infrastructure, application programming interfaces, and documentation made available to the User. |
| “Licensor” | The organisation or individual that owns and operates the Service. |
| “User” or “You” | The individual or legal entity that has been granted access to the Service under this Agreement. |
| “Data Sources” | Publicly available petroleum data including Petrinex Alberta public data and the JODI Oil World Database, as ingested and processed by the Service. |
| “Output” | Any response, report, figure, summary, or other content generated by the Agent in response to a User query. |
| “Authorised Purpose” | Internal business analysis, regulatory review, market research, and decision support activities related to the oil and gas industry. |
| “Confidential Information” | Any non-public technical or business information relating to the Service disclosed by the Licensor to the User. |
2. Grant of Licence
2.1 Licence Grant
Subject to the terms and conditions of this Agreement, the Licensor hereby grants to the User a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service solely for the Authorised Purpose during the term of this Agreement.
2.2 Restrictions
The User shall not, and shall not permit any third party to:
- copy, reproduce, distribute, republish, or transmit any part of the Service or its underlying code;
- modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Service;
- sell, resell, rent, lease, sublicense, assign, transfer, or otherwise commercialise the Service or access to it;
- use the Service to train, fine-tune, or build any competing artificial intelligence model or product;
- scrape, index, or systematically extract Output for purposes other than the Authorised Purpose;
- circumvent or attempt to circumvent any access controls, rate limits, or security measures of the Service;
- use the Service in any manner that violates applicable law, regulation, or third-party rights.
3. Data Sources, Output Accuracy, and Limitations
3.1 Nature of Data Sources
The Service ingests data from publicly available sources, including but not limited to the Petrinex Alberta public data portal and the JODI Oil World Database. These sources are operated by third parties. The Licensor does not control their content, availability, or accuracy.
3.2 Output Is Not Professional Advice
IMPORTANT NOTICE
The Output generated by the Agent is provided for informational and analytical purposes only. It does not constitute professional engineering, legal, financial, investment, regulatory, or technical advice. Users should not rely solely on Output to make decisions with material consequences without independent verification from qualified professionals.
3.3 No Warranty of Accuracy
The Licensor makes no representation or warranty, express or implied, that Output is accurate, complete, current, or fit for any particular purpose. Data published by Petrinex and JODI may carry reporting lags, amendments, and estimated values. The Agent indicates when data is estimated rather than directly reported, but the User remains responsible for verifying any figure before acting on it.
3.4 Geographic and Temporal Scope
In its current release, the Service provides:
- Well-level and facility-level production detail for Alberta, Canada only.
- Global market context for major producing countries as covered by the JODI primary dataset.
- Historical data from 2002 to the most recently published reporting period.
Coverage of additional Canadian provinces and additional data categories is planned for future releases. The User acknowledges that queries outside the current scope will return a clear statement of limitation rather than fabricated data.
3.5 Data Latency
Petrinex production data is published approximately 45 days following the end of the relevant production month, subject to AER reporting deadlines. JODI data is published approximately 20 days after the end of each calendar month. The Service does not provide real-time production data.
4. Intellectual Property
4.1 Service Ownership
The Service, including all software, models, prompts, workflows, data schemas, and documentation, is and shall remain the exclusive property of the Licensor. This Agreement does not transfer any ownership rights to the User.
4.2 Third-Party Data
Data derived from Petrinex and JODI remains subject to the terms of use of those respective data providers. The User agrees to comply with all applicable terms of those providers when using Output derived from their data.
4.3 User Queries
The Licensor does not claim ownership over the text of queries submitted by the User. However, the User grants the Licensor a limited licence to process such queries solely for the purpose of operating and improving the Service.
4.4 Output
Output generated by the Agent is provided to the User for use in accordance with the Authorised Purpose. The User may reproduce Output for internal business purposes, provided that any reproduction clearly identifies the source as the Alberta Oil & Gas Intelligence Agent and notes the data source and reporting period.
5. Confidentiality
Each party agrees to keep the other party’s Confidential Information strictly confidential and not to disclose it to any third party without prior written consent. This obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party at the time of disclosure; (c) is independently developed by the receiving party without reference to the Confidential Information; or (d) is required to be disclosed by law or court order, provided the receiving party gives reasonable prior notice to the disclosing party.
6. Acceptable Use
6.1 Permitted Uses
The User may use the Service to:
- query Alberta production volumes, operator rankings, well status, and facility information;
- query global oil production, import, export, and demand data for covered countries;
- generate analytical summaries and comparisons for internal business reporting;
- support regulatory review and compliance monitoring activities;
- conduct market research and competitive benchmarking within the oil and gas sector.
6.2 Prohibited Uses
The User must not use the Service to:
- generate content intended to mislead, deceive, or defraud any person or entity;
- produce false or misleading production or market statistics for external publication;
- attempt to extract, reconstruct, or infer confidential or commercially sensitive data of any operator not covered by public disclosure;
- submit queries designed to probe, test, or circumvent the Agent’s safety or scope guardrails;
- use Output as the sole basis for investment decisions, regulatory filings, or legal proceedings without independent verification;
- access the Service on behalf of a third party without that party’s knowledge.
7. Disclaimers and Exclusion of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
THE LICENSOR DOES NOT WARRANT THAT: (A) THE SERVICE WILL OPERATE UNINTERRUPTED OR ERROR-FREE; (B) OUTPUT WILL BE ACCURATE, COMPLETE, OR CURRENT; (C) THE SERVICE WILL MEET THE USER’S REQUIREMENTS; OR (D) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OR INABILITY TO USE THE SERVICE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE LICENSOR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY THE USER TO THE LICENSOR FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
The User agrees to indemnify, defend, and hold harmless the Licensor and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) the User’s breach of this Agreement; (b) the User’s use of the Service in violation of any applicable law or regulation; or (c) the User’s reliance on Output without independent verification where such verification was reasonably required.
10. Term and Termination
10.1 Term
This Agreement commences on the date the User first accesses the Service and continues until terminated in accordance with this Section.
10.2 Termination by Licensor
The Licensor may suspend or terminate the User’s access to the Service immediately, without notice, if the User breaches any material term of this Agreement or if continued provision of the Service would violate applicable law.
10.3 Termination by User
The User may terminate this Agreement at any time by ceasing all use of the Service and deleting all Output stored beyond the Authorised Purpose.
10.4 Effect of Termination
Upon termination: (a) all licences granted under this Agreement shall immediately cease; (b) the User must cease all use of the Service; and (c) Sections 4, 5, 7, 8, 9, and 12 shall survive termination.
11. Updates to the Service and this Agreement
The Licensor reserves the right to modify the Service, its data sources, scope, and features at any time. Material changes to the Service that affect the User’s rights or obligations will be communicated with reasonable notice.
The Licensor may update this Agreement from time to time. Continued use of the Service following notice of an updated Agreement constitutes acceptance of the revised terms. If the User does not agree to a revised Agreement, they must cease use of the Service.
12. General Provisions
12.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. The parties submit to the exclusive jurisdiction of the courts of Alberta for any dispute arising under this Agreement.
12.2 Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the Service and supersedes all prior negotiations, representations, warranties, and understandings.
12.3 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12.4 Waiver
The failure of either party to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision.
12.5 Assignment
The User may not assign or transfer any rights or obligations under this Agreement without the Licensor’s prior written consent. The Licensor may assign this Agreement freely.
12.6 Notices
Any notices required under this Agreement shall be provided in writing to the contact details provided by each party at the time of registration or as subsequently updated.
ACCEPTANCE
By accessing or using the Service, the User acknowledges that they have read, understood, and agree to be bound by this End User License Agreement in its entirety.
